Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of CanarySpill (the “Service”), operated by Lemonwater Digital Solutions Limited (“we”, “us”, “our”), a company registered in Cyprus with its registered office at 3 Odyssea Antroutsou, 2413 Egkomi, Nicosia, Cyprus.
By accessing, browsing, registering for, or using the Service, you agree to be bound by these Terms, our Privacy Policy, our GDPR Policy, and our Cookies Policy.
1. Eligibility & key definitions
The Service is intended only for individuals located in the European Union and European Economic Area. You must be at least 18 years old to use the Service.
Definitions of workers/employees and employers. For the purposes of these Terms and our reviews, a “worker” or “employee” means any individual who delivers work product for a firm or is a significant part of that firm’s value chain, including employees, contractors, freelancers, interns and similar roles, and an “employer” means any organisation that engages such workers and may be the subject of reviews on the Service.
2. Account registration & service communication
To post reviews or access certain features, you may be required to create an account. You must provide accurate, current, and complete personal information to register.
Please ensure that you keep your login credentials secure.
Service communications. By creating an account, you agree that we may send you service-related communications (such as account, security, and policy updates) by email, in-app messages and other electronic means in connection with the operation of the Service. You may opt out of non-essential marketing communications at any time using the unsubscribe link in our emails or your account settings, but you cannot opt out of communications that are necessary for the provision of the Service or for informing you of changes to these Terms or our privacy notices.
3. Anonymous reviews
You may submit reviews anonymously to the public and to other users. However, we may still process certain information internally for account security, fraud prevention, moderation, legal compliance, and service improvement. We do not guarantee absolute anonymity where disclosure is required by law or necessary to protect our rights, users, or the integrity of the Service.
4. Review rules
You may only submit truthful, honest, and first-hand reviews based on your own actual experience with the employer concerned. You must not submit content that:
- Is false, misleading, defamatory, abusive, harassing, or retaliatory.
- Contains hate speech, discrimination, threats, or unlawful material.
- Suggests or promotes acts of violence or acts of defamation.
- Reveals personal data about other individuals.
- Is created by bots, fake accounts, incentives, or paid schemes.
- Repeats the same content or submits multiple reviews to manipulate ratings.
You must also not submit any review or related content that:
- Contains false statements, lies, exaggerations presented as facts, or deliberately misleading claims.
- Makes defamatory, abusive, threatening, harassing, or retaliatory statements.
- Directly identifies, targets, or attacks a specific person, including current or former managers, colleagues, HR staff, or other individuals, unless strictly necessary and lawful.
- Includes personal data about any identifiable individual, such as names, phone numbers, emails, photos, addresses, job titles combined with identifying details, or other information that could reveal their identity.
- Reveals confidential, proprietary, or trade secret information belonging to an employer or any third party.
- Includes discriminatory, hateful, obscene, or otherwise unlawful content.
- Purports to state objective facts when the content is only opinion or hearsay.
- Is posted on behalf of another person, is copied from another source, or is generated using fake accounts, bots, or incentives.
- Encourages unlawful conduct or violates the rights of any person or organisation.
We may remove or reject any review that, in our reasonable view, is inaccurate, abusive, unlawful, personally identifying, or otherwise inconsistent with these Terms without the need to provide any reasoning or justification for the removal.
A REVIEW MUST NEVER, UNDER ANY CIRCUMSTANCE, refer to an individual and it must never be used to shame, harass, or expose that person.
Reviews are also subject to our Review Moderation & Reporting Policy, which forms part of these Terms and explains how we handle reports, moderation decisions and appeals.
5. Review Moderation / Reporting Policy
If you believe a review is unlawful, false, misleading, abusive, defamatory, personally identifying, or otherwise violates these Terms or applicable law, you may use the “Report review” button to submit a report. Reports will be handled in accordance with our Review Moderation & Reporting Policy, which explains how we review reports, the types of action we may take, and the circumstances in which we may retain, restrict, or remove content. We may also notify the reviewer, request additional information, or take account-level action where appropriate. However, we retain our right to remove any content without prior notification to the user and without the need to provide the user with any justification.
6. Verification and moderation
We may use automated tools and human review to detect suspicious, false, duplicate, or policy-violating submissions. We may ask you to confirm your employment relationship or provide supporting information.
We may refuse publication, remove, edit, or limit access to any content at our discretion where we believe it breaches these Terms, our policies, or applicable law.
We may refuse, remove, edit or restrict viewing access to any review without any written notification to the person that wrote the review or without any justification provided.
Our verification and moderation activities may involve processing personal data as described in our Privacy Policy and GDPR Policy, and we carry out those activities in accordance with applicable data-protection law.
7. User content licence
By submitting, posting, uploading, or otherwise making available any content on or through the Service, including reviews, ratings, comments, feedback, suggestions, profile information, and any other material or information (“User Content”), you grant us a worldwide, non-exclusive, transferable, sublicensable, royalty-free licence to host, store, reproduce, display, publish, distribute, adapt, translate, modify, format, edit, analyse, aggregate, and create derivative works from such User Content, and to use it in connection with the operation, improvement, development, promotion, analytics, moderation, security, monetisation, and business activities of the Service and of the Company, in each case to the extent permitted by applicable law.
You acknowledge and agree that we may use User Content alone or together with other data, in whole or in part, including in aggregated, anonymised, or pseudonymised form.
We may process User Content for purposes including service delivery, content moderation, fraud prevention, trend analysis, benchmarking, product development, and commercial use, subject always to applicable data protection law. We may edit, shorten, reformat, organise, combine, or otherwise transform User Content where reasonably necessary for the Service, provided that we do not intentionally misrepresent the substance of your review.
We may retain User Content for as long as reasonably necessary for the purposes set out in our Privacy Policy, unless a longer retention period is required or permitted by law. Where User Content contains personal data, our processing of that personal data is governed by our Privacy Policy and applicable data protection law, including the GDPR.
You confirm that you have the right to submit the User Content and that it does not infringe the rights of any third party or violate any law. You understand that submitting User Content does not affect any rights you may have under data protection law, including rights of access, rectification, erasure, restriction, objection, and portability, subject to applicable limitations and exceptions.
To the fullest extent permitted by law, you waive any claim that we need your separate consent and by using our Service you automatically consent to use of User Content in the ways described above, except where explicit consent is required under applicable data protection law. This licence applies only to the extent permitted by applicable law, and nothing in these Terms limits any rights or protections you have under the GDPR or other mandatory laws.
8. Analytics and premium products
We may use reviews and related data in aggregated, anonymised, or pseudonymised form to create trend reports, employer scores, benchmarking tools, and any other insights for premium or subscription users or for any client of the Company in the way we see fit without breaching any applicable law.
We will not knowingly identify you in those outputs unless you have explicitly agreed or disclosure is otherwise permitted by law.
We may combine your data and reviews with other data so that we may reach our conclusions, tools, reports, scores or benchmarking tools and other insights.
9. AI-generated and automated content
We may use algorithmic and artificial-intelligence tools to generate summaries, scores, benchmarks, recommendations or other content based on User Content and other data. Any such AI-generated or automated content is provided on an “as is” basis, may be inaccurate or incomplete, and you remain responsible for evaluating whether it is appropriate for your use; to the extent permitted by law, we disclaim all liability arising from your reliance on AI-generated or automated content.
10. Prohibited conduct
You agree that you will not, and will not attempt to, use the Service in any way that is unlawful, abusive, deceptive, fraudulent, or harmful. In particular, you must not:
- Submit false, misleading, fabricated, exaggerated, or otherwise deceptive content, including any review that misrepresents your identity, employment history, or relationship with an employer.
- Post content that is defamatory, harassing, threatening, abusive, retaliatory, obscene, hateful, discriminatory, or otherwise unlawful.
- Directly name, identify, target, shame, or personally attack any individual, including current or former managers, employees, contractors, HR staff, or other persons.
- Reveal or publish personal data about any identifiable person, including names, contact details, photos, job titles combined with identifying details, addresses, or other information that could identify that person.
- Reveal confidential information, trade secrets, internal business information, or protected materials belonging to an employer or any third party.
- Submit content on behalf of another person, use fake accounts, bots, scripts, incentives, or coordinated activity to manipulate ratings or reviews, or engage in review farming, astroturfing, or similar conduct.
- Attempt to identify, de-anonymise, harass, or retaliate against any reviewer or user.
- Use the Service to spread malware, phishing links, spam, or unauthorised advertising.
- Scrape, crawl, copy, reverse engineer, or commercially exploit the Service or its content without our prior written consent.
- Interfere with the security, operation, integrity, or availability of the Service.
- Use the Service to encourage unlawful conduct or to infringe any rights of another person or entity.
- Use the Service for harassment, doxxing, extortion, or unlawful surveillance.
- Misrepresent your identity or experience.
- Introduce malware or attempt unauthorised access.
We may investigate any suspected breach of this Section and may remove content, suspend features, restrict access, or terminate accounts where we reasonably believe a violation has occurred or is likely to occur. We may also retain relevant records and cooperate with law enforcement, regulators, courts, or affected parties where required or permitted by law.
11. Intellectual property
All rights in the Service, including software, design, branding, and proprietary analytics, belong to us or our licensors. Except for your own content, no part of the Service may be copied or reused without permission.
12. Suspension and termination
We may suspend, restrict, or terminate access to the Service or remove content if we reasonably believe there has been a breach of these Terms, a legal risk, abuse, or security issue without notifying or providing written notification or without providing written or other form of justification or warning.
13. Legal requests for user information
If any third party (including an employer) seeks disclosure of information that could identify a reviewer or other user, including in connection with an allegation of defamation or other unlawful content, they must obtain a valid court order, subpoena or other compulsory legal request addressed to Lemonwater Digital Solutions Limited in the Republic of Cyprus. We will assess and respond to such requests in accordance with applicable Cyprus and EU law and may require that any proceedings to obtain disclosure are brought before the competent courts of the Republic of Cyprus. Nothing in this section limits our ability to cooperate with regulators or law-enforcement authorities where required by law.
14. Disclaimer & platform neutrality
The Service is provided on an “as is” and “as available” basis. We do not guarantee that any review, score, or analysis is complete, accurate, current, or free from bias.
Employer ratings and insights are provided for informational purposes only and should not be treated as legal, financial, or professional advice.
Platform neutrality. CanarySpill is a neutral platform for user-submitted reviews and related content and does not mediate, investigate, or resolve factual disputes between users and employers.
Reviews and other user content reflect the subjective opinions and experiences of individual users; we do not independently verify their accuracy and we are not responsible for any disputes or disagreements arising out of such content.
15. Liability
To the fullest extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive losses arising from your use of the Service or from content posted by users.
Nothing in these Terms limits liability where such limitation is not permitted by law.
16. Changes to the Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the Service or by email.
17. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Cyprus. Any disputes shall be subject to the courts of Cyprus, unless mandatory consumer protection law requires otherwise.
